Terms and Conditions of Sale and Delivery
Purpose
These General Terms and Conditions of Sale (GTC) are intended to define the terms and conditions of sale for new refrigerators marketed by Frigotech SRL (“the Seller”) to its customers (“the Customer”) in Belgium.
Orders
2.1 Order Acceptance
Only orders accepted in writing by Frigotech SRL, either through an order confirmation or the conclusion of a contract, bind the company. Any accepted order is firm and irrevocable, even if placed verbally or before formal acceptance by Frigotech SRL.
2.2 Customer Commitment
Acceptance of the order form implies full and unconditional agreement to these GTC. Any modification of the initial order by the Customer may result in a revision of the delivery times and additional charges. Before confirming their order, the Customer must ensure that all verbal commitments have been recorded in writing, with the conditions of the final order prevailing in all circumstances.
2.3 Payment Terms
Unless otherwise agreed, the Customer agrees to pay the full amount of the order at the time of confirmation.
2.4 Validity of Offers
Any offer is valid for 30 days from its date of issue, unless otherwise stated.
Delivery
3.1 Delivery Times
Delivery times are provided for information purposes only. They are in no way guaranteed, and any delay cannot give rise to compensation or order cancellation. Delivery may be made in multiple shipments. The goods travel at the Customer’s risk.
3.2 Place of Delivery
All sales are deemed to be concluded at the registered office of Frigotech SRL. The Customer must inform Frigotech of any access difficulties for delivery. In the absence of such information, any additional costs and risks will be borne by the Customer. Goods collected by the Customer also travel at their own risk.
3.3 Time of Delivery
Delivery is considered complete as soon as the goods are made available on the premises of Frigotech SRL or, where applicable, as soon as they are handed over to the carrier.
3.4 Receipt
The Customer must immediately check the condition of the goods upon receipt. In the event of an anomaly, reservations must be noted on the delivery slip and reported to Frigotech SRL. A formal complaint must also be sent to the carrier by registered mail within three (3) working days, with a copy to Frigotech SRL.
3.5 Refusal of Delivery
In the event of an unjustified refusal of the goods or a failure to execute the order attributable to the Customer, the Customer shall owe a flat-rate indemnity of 30% of the total order amount. This indemnity may be increased if the actual damage is greater.
Prices
Prices are expressed excluding VAT, ex-warehouse, and excluding transportation costs, taxes, and insurance. Frigotech SRL reserves the right to adjust its prices based on changes in its suppliers’ pricing.
Warranty
The refrigerators are covered by a one (1)-year legal warranty starting from the date of delivery. This warranty covers conformity defects that existed at the time of delivery.
The following are excluded from the warranty:
- Damage resulting from improper use, incorrect installation, or inadequate maintenance.
- Loss of goods stored under controlled temperatures (refrigerators, cold rooms, display cases, freezers, etc.).
- Any relocation or reinstallation of the equipment without prior approval.
The warranty is personal and linked to the purchase invoice. Any warranty service is carried out from Monday to Friday, from 8:30 a.m. to 5:00 p.m. Services outside these hours are billed with a surcharge:
- +150% on Saturdays and after 5:00 p.m. on weekdays
- +200% on Sundays and public holidays
For any request, the Customer must contact the after-sales service of Frigotech SRL.
Retention of Title
The goods remain the property of Frigotech SRL until full payment is made. The Customer agrees not to transfer or modify the goods until they are fully paid. In the event of seizure, the Customer must immediately inform Frigotech SRL, which reserves the right to reclaim unpaid goods.
Defects and Claims
The Customer must check the conformity and condition of the goods upon delivery. Any claim regarding apparent defects or non-conformities must be made in writing within two (2) working days from the discovery of the defect. The claim must be sufficiently detailed. After this period, no recourse can be made on this basis.
Filing a claim does not exempt the Customer from paying the invoice by the agreed due dates.
Liability
The liability of Frigotech SRL is strictly limited to the amount of the order concerned. The Seller cannot, under any circumstances, be held responsible for indirect damages related to the use of the products.
Protection of Personal Data
The personal data collected during the order process is used exclusively for managing purchases. It will not be shared with third parties without the Customer’s consent. In accordance with the GDPR, the Customer has the right to access, rectify, and delete their data.
